Terms of Service
Last updated: 17 October 2026
1. Agreement & Contracting Entities
These Terms of Service ("Terms") govern access to and use of the Vettara Search platform, website, APIs, MCP connectors, outputs, and related services ("Service"). Vettara Search is owned and operated by Vettara Technology FZ-LLC (Arabic: فيتارا تكنولوجي ش.م.ح - ذ.م.م), a Free Zone Limited Liability Company licensed by the Ras Al Khaimah Economic Zone Authority (RAKEZ), United Arab Emirates under Services Licence No. 47031944, E-Commerce Licence No. 45035757, and Media Licence No. 17008618, with registered office at VUNE1937, Compass Building - Al Hulaila, Al Hulaila Industrial Zone-FZ, Ras Al Khaimah, UAE ("Vettara", "we", "us", "our"). The platform software and AI architecture are engineered and developed by Waggle FZE (SPCFZ Business Licence No. 4432420.01, Sharjah, United Arab Emirates).
By creating an account, signing in, executing an order form, or using the Service, you agree to these Terms on behalf of yourself and the business organisation you represent. If you do not agree to these Terms, do not use the Service.
2. B2B Commercial Nature & Strict 18+ Age Eligibility
Vettara is strictly a business-to-business (B2B) executive search and talent intelligence workspace designed exclusively for adult professionals, recruitment firms, executive search consultants, and corporate hiring teams.
- 18+ Only: You must be at least 18 years of age (and of full legal capacity in your jurisdiction) to create an account or use the Service. Minors and children under 18 are strictly prohibited from accessing the Service, and customers must never submit or search for data concerning minors.
- Not an Employment or Consumer Reporting Agency: Vettara is a software research tool. Vettara is not a law firm, licensed employment placement agency, background-check provider, or "consumer reporting agency" under the US Fair Credit Reporting Act (FCRA) or equivalent international regulations. Vettara outputs do not constitute "consumer reports" and must never be used to determine consumer credit, insurance, housing, or automated adverse employment eligibility without independent human verification.
3. Accounts, Security & Workspace Access
- You must provide accurate business account information and keep it current.
- You are responsible for all activity occurring under your account and organisation workspace.
- You must safeguard passwords, MFA devices, OAuth connections, API tokens, and exported files.
- You must notify support@vettarasearch.com immediately of any suspected unauthorised access.
- We may suspend or restrict access immediately to protect the Service, tenants, candidates, or third parties from security or legal risk.
4. Customer Responsibilities & Lawful Sourcing
As the data controller for your search projects, you are solely responsible for:
- Selecting lawful, non-discriminatory search criteria, target markets, and outreach workflows.
- Independently reviewing and verifying all candidate profile data, employment history, and contact details before relying on them or contacting any individual.
- Complying with all applicable employment, equal-opportunity, anti-discrimination, data protection (including UAE Federal Decree-Law No. 45 of 2021, EU/UK GDPR, and CCPA), and electronic marketing/anti-spam laws (including CAN-SPAM, PECR, and UAE TDRA regulations).
- Providing any legally required candidate privacy notices (such as GDPR Article 14 notices) within statutory timeframes and honoring all opt-out or suppression requests immediately.
- Making all shortlisting, interview, evaluation, and hiring decisions through qualified human personnel.
5. AI Output & Automated Employment Decision Tool (AEDT) Disclaimer
The Service uses artificial intelligence, large language models, heuristic grading, and public web retrieval to parse role briefs, surface public professional profiles, generate evidence summaries, and assign preliminary research fit grades.
- Probabilistic Nature of AI: AI outputs may be incomplete, outdated, hallucinated, duplicated, or inaccurate, and may misattribute roles or companies where individuals share similar names.
- Human-in-the-Loop Mandate: Vettara is an assistive research surface, not an autonomous hiring decision-maker. You agree that a human reviewer will inspect the underlying source evidence before advancing, rejecting, or contacting any candidate. Where your use of AI tools in recruitment is subject to local regulation (such as NYC Local Law 144, the EU AI Act, or the UAE AI Ethics Charter), you are solely responsible for providing required candidate disclosures, bias audits, and alternative evaluation processes. See our AI and Recruitment Transparency Notice.
6. Acceptable Use & Prohibited Conduct
Your use of the Service is subject to our Acceptable Use Policy. In particular, you must not:
- Use the Service for unlawful, discriminatory, defamatory, harassing, stalking, doxxing, or fraudulent purposes, or in violation of UAE Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes.
- Filter, rank, or exclude candidates based on protected characteristics (race, religion, gender, disability, age, national origin, or marital status).
- Send unsolicited bulk spam, harvest contacts for resale as a data broker, or contact individuals who have opted out.
- Attempt to bypass authentication, tenant isolation, rate limits, or security controls.
- Reverse engineer, scrape, frame, resell, or use the Service to train or benchmark a competing product.
7. Intellectual Property, Trademarks & Takedown Requests
- Customer Data: You retain ownership of the briefs, notes, and proprietary files you upload to your workspace.
- Platform IP: Vettara Technology FZ-LLC and Waggle FZE own all right, title, and interest in the Vettara platform, software, algorithms, UI designs, trademarks, and documentation.
- Third-Party Marks: Third-party company names and logos referenced in search briefs or candidate histories remain the property of their respective owners and do not imply endorsement or affiliation.
- Copyright / IP & Profile Takedowns: We respect intellectual property and individual privacy rights. Requests to remove infringing material or suppress a public professional profile from Vettara search indexes can be submitted at any time via vettarasearch.com/privacy-requests or support@vettarasearch.com.
8. Subscriptions, 5% UAE VAT, Auto-Renewal & Refunds
Subscription pricing, search allowances, auto-renewal terms, 5% UAE VAT (under UAE Federal Decree-Law No. 8 of 2017), cancellation procedures, and refund eligibility are governed by our Billing, Refund & UAE VAT Policy, which is incorporated into these Terms by reference.
Subscriptions renew automatically for the selected billing cycle (monthly or annual) until cancelled via workspace settings or by emailing support@vettarasearch.com prior to renewal. Except as expressly provided in the Billing, Refund & UAE VAT Policy (including the 48-hour unused initial subscription grace period, billing errors, or mandatory statutory rights under UAE law), paid subscription fees are non-refundable.
9. Privacy, Data Protection & Connected Services
Our Privacy Policy, Candidate Privacy Notice, Cookie Policy, Data Processing Agreement (DPA), Data Retention and Deletion Policy, and Subprocessors List govern how personal data is processed. Optional integrations with Google (Gmail, Calendar, Meet, Drive), Microsoft (Outlook, Calendar), and MCP clients (ChatGPT, Claude) operate strictly under user-authorized OAuth scopes as detailed in the Privacy Policy and Connected Apps and MCP Notice.
10. Service Availability & Modifications
We strive for high availability and publish live operational telemetry at vettarasearch.com/status, but we do not guarantee uninterrupted uptime, specific candidate headcounts, or continuous availability of external third-party web sources. We may update or modify platform features to maintain security, legal compliance, and search quality.
11. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service and all research outputs are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy of candidate data.
12. Limitation of Liability
To the maximum extent permitted by applicable law, neither Vettara Technology FZ-LLC, Waggle FZE, nor their respective directors, managers, officers, employees, or suppliers shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, employment opportunities, or business interruption arising out of or related to the Service or these Terms.
To the maximum extent permitted by law, our total cumulative liability for all claims arising out of or relating to the Service or these Terms shall not exceed the total subscription fees actually paid by you to Vettara Technology FZ-LLC during the twelve (12) months immediately preceding the event giving rise to liability, or USD $100.00 if no fees were paid.
13. Indemnification
You agree to defend, indemnify, and hold harmless Vettara Technology FZ-LLC, Waggle FZE, and their officers, managers, and personnel from and against any third-party claims, regulatory fines, damages, losses, and reasonable legal fees arising out of: (a) your customer data or search briefs; (b) your candidate outreach, employment practices, or hiring decisions; (c) your breach of these Terms or the Acceptable Use Policy; or (d) your violation of any applicable privacy, employment, anti-spam, or intellectual property law.
14. Governing Law, Dispute Resolution & Venue
Unless a signed Enterprise Agreement specifies otherwise, these Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the applicable regulations of the Ras Al Khaimah Economic Zone (RAKEZ).
Before initiating formal legal proceedings, both parties agree to attempt in good faith to resolve any dispute informally by sending a written notice of dispute to support@vettarasearch.com and allowing thirty (30) days for good-faith negotiation. Subject to mandatory statutory provisions, the competent courts of the United Arab Emirates shall have exclusive jurisdiction over any unresolved dispute.
15. Contact Information
Questions regarding these Terms should be sent to Vettara Technology FZ-LLC at support@vettarasearch.com or via our Contact page. Full corporate registration particulars are published on our Legal Notice.
